DEL RIO SENIORS BY-LAWS

Article 1. The Organization

Section 1. Name.

1. The name of this organization shall be DEL RIO SENIORS.

Section 2. Membership.

1. The membership will consist of any male member of DEL RIO COUNTRY CLUB who has reached the age of 55 during the calendar year.

2.  Any member attaining the age of 90 years shall thereafter be excused from the payment of dues.

Section 3. Object.

1.  The object of this group shall be to encourage senior golfers to participate in and plan golfing activities for members.

Section 4. Dues.

1.  Yearly dues shall be determined by the Board of Directors, and shall be due on January 1 of each year and will become delinquent on February 1. Only members in good standing will be eligible to participate in senior activities, holding office or serving on committees.

Article II. Meetings

1.  A meeting of the Board shall be held monthly, preferably on the third Thursday of each month at DEL RIO COUNTRY CLUB. Alternate meeting dates may be specified by the President.

2.  The annual meeting shall be held in December for the purpose of electing a Board of Directors for the coming year.

Article III. Board of Directors

1.  The Board of Directors shall be composed of nine members.

2.  Term of office shall be three years.

3.  Directors may be re-elected after one year off the Board.

Article IV. Election of Officers

1.  The Board will elect President, Vice President, Secretary and Treasurer at the first regular Board meeting in December.

2.  In the event of a vacancy on the Board, the remaining Board Members shall appoint a replacement.

Article V. Duties of Officers

1.  The President shall preside at all meetings, and appoint committee and tournament chairmen.

2.  The Vice President shall assume the duties of the President in the President's absence.

3.  The Secretary shall keep minutes of the Board meetings, issue notices of special meetings, and handle correspondence.

4.  The Treasurer shall keep a record of all dues collected, pay all bills upon approval of the Board, and report the current status of income and expenses at the regular Board meetings.

Article VI. Committees

1.  Nominating Committee - The President will appoint a nominating committee at the regular October Board meeting. The committee shall be composed of two existing Board members and one non­Board member. The committee will select one candidate to fill each existing vacancy on the Board.

2.  The report of the Nominating Committee shall be presented at the regular November Board Meeting.

3.  Tournament Committee - The Board shall serve as the Committee and appoint a chairman and co-chairman if appropriate, for each activity scheduled for the year. The Tournament Chairman will be responsible for planning all aspects of the activity, present a proposed budget for that activity for Board approval prior to the event, and present a financial report showing income and detailed expenses at the conclusion of the activity.

Article VII. Amendments

1.  Amendments to the By-Laws may be made by a majority vote of the Membership at the Annual Meeting.

2.  Notice of intention to amend must be posted on the Seniors Bulletin Board a month before the Annual Meeting.

3.  A majority of those attending the Annual Meeting shall constitute a quorum.

The foregoing By-Laws were duly adopted at the Annual Meeting on December 6, 1996.
